The Company signed the "Agreement on Merger by Merger" on this matter, and requested the general meeting of shareholders to authorize the company's management to be responsible for the merger and absorption.
The announcement shows that Midian Separator was established in 2017 with a registered capital of 50 million yuan. Its business scope includes: research and development, production and sales of lithium-ion battery separators and various functional films, plastic products, technical consultation, and technology transfer. In view of the fact that Midland New Materials has adjusted the layout of the industries involved, and Midland Separator has not carried out substantial business since its establishment, based on the consideration of the company's development strategy and business planning, in order to further integrate and optimize the existing resource allocation, The company plans to absorb and merge with Midian Septum.
According to the agreement, after the completion of the merger, the independent legal personality of Midland Separator will be cancelled, and all its assets, creditor's rights and debts, and all other rights and obligations will be inherited by Midland New Materials in accordance with the law. The registered capital of the company will not change after the merger by absorption, and the number of shareholders will not be directly affected by the merger by absorption.
The battery network noticed that Anhui Meixin, another subsidiary of Midian New Materials, has covered the technical reserves of wet diaphragms required for power batteries, energy storage batteries, 3C digital batteries, and semi-solid batteries, and has obtained 2 national invention patents. A number of other invention patents are under substantive examination.
In terms of project construction, Anhui Meixin lithium battery wet diaphragm project has a planned total production capacity of 900 million square meters, which will be constructed in two phases. The planned production capacity of the first-phase project is 414 million square meters. It is expected to complete the construction in the second half of 2022, and the second-phase project will start construction as soon as possible. A few days ago, Meilian New Materials introduced on the investor interactive platform that the first and second production lines of the Anhui Meixin wet diaphragm project are in the stage of installation and commissioning, and it is planned that the production capacity of these two lines will be fully released in the first quarter of this year.
It is worth noting that Anhui Meixin has obtained a long order for the supply of Baolixin wet-process diaphragms in December 2021, and will supply it with no less than 200 million square meters of wet-process diaphragms from 2022 to 2024.
