Recently, Huizhou EVE Co., Ltd. (hereinafter referred to as the "Company") and Debreceni Ingatlanfejlesztő Korlátolt Felelősségű Társaság (hereinafter referred to as the "Seller"), a subsidiary of the Hungarian Debrecen (Debrecen City) government, signed the "PROJECT ROSE-NON-BINDING LETTER OF INTENT" , the company or its affiliated entities (to be designated later) intend to purchase the target real estate from the seller and establish a power battery manufacturing plant in Hungary in accordance with the terms and conditions set forth in this letter of intent.

1. The buyer or investor is the company or its affiliated entity (to be designated later);
2. The seller is Debreceni Ingatlanfejlesztő Korlátolt Felelősségű Társaság;
3. The target property is located in the Northwest Industrial Zone of Debrecen, 45 hectares;
4. The investor's manufacturing plant invests in the production of a new type of cylindrical power battery on the target property;
5. The purchase price of the target real estate shall be calculated according to its registered area at the time of delivery, and the purchase price shall be paid by the investor to the seller in installments;
6. This Letter of Intent shall be effective from the date of signing by the seller and the buyer, and shall be effective until the date of long-term termination or the date of signing of the PSPA, whichever is earlier.
